These Terms & Conditions (“Terms”) govern your access to and use of services provided by Nuvion Technologies (“Nuvion”, “we”, “our”, or “us”), including our website, APIs, platform tools, and related services (“Services”).
By accessing or using our Services, you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years old and legally able to enter into binding contracts. If you are accessing our Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
2. Services Overview
Nuvion provides regulated financial infrastructure including:
APIs for card issuing, acquiring, payouts, and account creation
Access to licensed partners, banking rails, and compliance tools
Developer tools including SDKs, documentation, and testing environments
We reserve the right to modify, suspend, or discontinue Services at any time, with or without notice.
3. Account Registration
We do not sell your personal data. We may share your information with:
Regulatory bodies, as required for compliance
Service providers and infrastructure partners (e.g., banking-as-a-service partners, KYC vendors)
Payment networks (e.g., card schemes or FX providers)
Legal entities in case of fraud, security, or legal claims
With your explicit consent, where required
4. Acceptable Use
You agree not to:
• Use the Services for unlawful, harmful, or fraudulent activities
• Circumvent or breach security or authentication measures
• Interfere with the integrity or performance of the Services
• Resell or sublicense the Services without authorization
Violations may result in account suspension or termination.
5. Compliance & Regulatory Requirements
You are responsible for ensuring your use of Nuvion’s Services complies with applicable laws and regulations in your jurisdiction. Nuvion may conduct KYC/KYB checks and reserves the right to deny service based on risk or compliance assessments.
6. Fees and Billing
Some Services may be subject to fees, as outlined in our pricing documentation or custom agreements.
• Fees may be charged monthly, per transaction, or based on usage
• You are responsible for applicable taxes
• Late payments may result in suspension or service disruption
7. Intellectual Property
All content, code, and technology provided by Nuvion are owned or licensed by us and protected by intellectual property laws. You may not:
• Copy, modify, or reverse-engineer the platform
• Use Nuvion branding without written permission
• Infringe on any proprietary rights of Nuvion or our partners
8. Confidentiality
You agree to treat all non-public information disclosed by Nuvion as confidential, including technical documentation, business practices, and pricing.
This obligation survives termination of your use of the Services.
9. Warranties & Disclaimers
Nuvion provides Services on an “as-is” and “as-available” basis. We do not guarantee that:
• Services will be error-free or uninterrupted
• API uptime will be 100% (see System Status for live updates)
• The Services will meet your specific business or regulatory requirements
Use of the Services is at your own risk.
10. Limitation of Liability
To the maximum extent permitted by law:
• Nuvion is not liable for indirect, incidental, or consequential damages
• Our total liability under these Terms will not exceed the fees you paid to us in the previous 12 months
11. Termination
You may terminate your account at any time by notifying us in writing. We may suspend or terminate your access if:
• You breach these Terms
• Required by law or regulatory authority
• We discontinue the Services
Termination does not relieve you of any outstanding payment obligations.
12. Governing Law
These Terms are governed by the laws of the United Kingdom, without regard to conflict of law principles. Any legal disputes will be resolved in the courts of London, UK, unless otherwise specified in a written agreement.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we’ll notify you via email or through the platform. Continued use of the Services after changes constitutes your acceptance.
